What Missouri needs first
Form your entity with the Missouri Secretary of State before applying. The IRS asks for the legal name and formation date exactly as the state recorded them, and a mismatch is one of the common causes of a rejected application.
Missouri assigns its own charter number. It identifies your company in state records and is not a tax ID. It cannot be used where an EIN is asked for, and the IRS has no record of it.
What Missouri requires once you have the EIN
- Register with the Missouri Department of Revenue through the online new business registration in MyTax Missouri, which the department runs jointly with the Division of Employment Security, or on Form 2643, the Missouri Tax Registration Application. The welcome letter that follows carries the Missouri Tax Identification Number (MOID) and a 4-digit PIN for filing online.
What is actually different about Missouri
- Missouri does not require LLCs to file an annual report with the Secretary of State, although Missouri corporations file an annual or biennial registration report. Once the articles of organization are filed, a Missouri LLC has no scheduled report with its formation office, which is unusual among states.
- Missouri ties local business licenses to state tax compliance. A business that sells goods at retail must show a statement of no tax due from the Department of Revenue, covering sales and withholding tax, before a city or county will issue or renew its occupation license, and the statement has to be recent when it is submitted.
- The Department of Revenue keys the Missouri Tax ID number to the business's federal and state identity. If the IRS issues the business a new FEIN, or the Secretary of State issues a new charter number, the department says a new Missouri Tax ID number is likely; an old number can be reopened only if the business structure has not changed.
