What Kansas needs first

Form your entity with the Kansas Secretary of State before applying. The IRS asks for the legal name and formation date exactly as the state recorded them, and a mismatch is one of the common causes of a rejected application.

Kansas assigns its own business entity ID. It identifies your company in state records and is not a tax ID. It cannot be used where an EIN is asked for, and the IRS has no record of it.

What Kansas requires once you have the EIN

  • Register with the Kansas Department of Revenue through the KDOR Customer Service Center, whose questionnaire tells the business which state taxes it needs. The department assigns a registration number and issues a Certificate of Registration or reporting number for each tax type, which is posted at the place of business.
  • File the information report with the Secretary of State every two years, by April 15 of each even-numbered or odd-numbered year to match the year the LLC was formed.

What is actually different about Kansas

  • Kansas replaced its annual report with a biennial information report on January 1, 2024. The reporting year follows the formation year: an LLC formed in an even-numbered year files in even-numbered years, and one formed in an odd-numbered year files in odd-numbered years. A company still unfiled three months after the due date forfeits and cannot file anything else with the Secretary of State until it catches up and is reinstated.
  • A Kansas LLC's information report must name each member who owns 5 percent or more of the capital, with an address where that member can regularly be found. The Secretary of State treats its filings as public record that may be viewable online, so the names of significant owners end up on the public record.
  • Kansas Secretary of State forms, from the information report to a change of resident agent, ask first for the business entity ID the Secretary of State issued and say in the instructions that it is not a tax ID number. The EIN, and any Department of Revenue registration number, do not belong in that box.
