What Nebraska needs first
Form your entity with the Nebraska Secretary of State before applying. The IRS asks for the legal name and formation date exactly as the state recorded them, and a mismatch is one of the common causes of a rejected application.
Nebraska assigns its own account number. It identifies your company in state records and is not a tax ID. It cannot be used where an EIN is asked for, and the IRS has no record of it.
What Nebraska requires once you have the EIN
- Register with the Nebraska Department of Revenue, online or on Form 20, the Nebraska Tax Application, for sales tax, income tax withholding or the other tax programs the business needs; the department assigns a Nebraska ID number that goes on every return and payment, and the EIN is required to register for withholding.
- File the LLC biennial report with the Secretary of State between January 1 and April 1 of each odd-numbered year, starting with the first odd-numbered year after the year the LLC was formed.
What is actually different about Nebraska
- Nebraska requires a newly formed LLC to publish a notice of organization for three successive weeks in a legal newspaper of general circulation near its designated office, and then file proof of publication with the Secretary of State. Amendments to the certificate of organization, mergers and conversions must be published the same way.
- Nebraska LLCs report every two years, and the cycle follows odd-numbered calendar years rather than the formation date: an LLC formed in 2026 files its first biennial report between January 1 and April 1, 2027, while one formed in 2027 files first in 2029. The Secretary of State treats reports still missing on June 16 as delinquent.
- Nebraska's online tax registration is only for a business that has never had a Nebraska ID number. Once the LLC holds one for any tax program, adding another program, such as sales tax after starting with withholding, means sending Form 20 to the Department of Revenue by mail or fax.
