How to Apply for an EIN in Wyoming

What Wyoming requires once you have the EIN

  • File the annual report and pay the annual report license tax with the Secretary of State by the first day of the anniversary month each year; the tax is based on assets located in Wyoming.
  • Register with the Wyoming Department of Revenue for a sales and use tax license if the LLC sells taxable goods or services, and with the Department of Workforce Services for unemployment insurance when it hires — both ask for the EIN.

What is actually different about Wyoming

  • Wyoming's articles of organization do not list the members or managers, so the public record shows only the company name, the registered agent, and the organizer. The annual report is where a manager or member signs, which is why Wyoming is chosen for privacy and why the annual report is the filing that matters.
  • Wyoming has no state income tax and no general state business license, so for most LLCs the only recurring state filing is the Secretary of State annual report with its license tax, which is computed on assets located in Wyoming rather than on income. Above a certain tax amount the report must be filed on paper rather than online.
  • The Wyoming Secretary of State assigns a filing ID at registration, and the online annual report wizard runs on it rather than on the company name. Owners who do not have the ID can look it up on the first page of the annual report screens by searching the LLC name.
