What Mississippi needs first

Form your entity with the Mississippi Secretary of State before applying. The IRS asks for the legal name and formation date exactly as the state recorded them, and a mismatch is one of the common causes of a rejected application.

Mississippi assigns its own business ID. It identifies your company in state records and is not a tax ID. It cannot be used where an EIN is asked for, and the IRS has no record of it.

What Mississippi requires once you have the EIN

  • Register with the Mississippi Department of Revenue through the Taxpayer Access Point (TAP) for a sales tax permit, withholding or any other tax account the LLC needs. The department asks for the EIN as identifying information and assigns its own account number to each tax account, and a business that collects sales tax may not open before its permit is issued.
  • File the LLC annual report online with the Secretary of State between January 1 and April 15 every year, using the company's Mississippi Business ID.

What is actually different about Mississippi

  • Mississippi's LLC annual report must be filed online; there is no paper version. Along with the registered agent, principal office and managers or a member, it asks whether the company has a written operating agreement and for a brief description of its business, and an LLC that does not file can be administratively dissolved.
  • Mississippi taxes an LLC the way the IRS classifies it. An LLC treated as a partnership files an informational return and skips the franchise tax lines, while one treated as a corporation, including an LLC that elects S corporation status, files as a corporation and owes Mississippi franchise tax, which is being phased down and is repealed effective January 1, 2028.
  • Mississippi charges a contractor's tax on the prime contractor for nonresidential construction contracts above a set size, in place of sales tax on the component materials. Before work begins the prime contractor applies for a Material Purchase Certificate for the job on TAP, and subcontractors buy materials under that certificate; residential work stays under ordinary sales tax.
