How to Apply for an EIN in Louisiana

What is genuinely different in Louisiana is what happens on either side of it — the Louisiana Secretary of State filing that has to exist first, and the state registrations that need the EIN once you have it.

What Louisiana needs first

Form your entity with the Louisiana Secretary of State before applying. The IRS asks for the legal name and formation date exactly as the state recorded them, and a mismatch is one of the common causes of a rejected application.

Louisiana assigns its own charter number. It identifies your company in state records and is not a tax ID. It cannot be used where an EIN is asked for, and the IRS has no record of it.

What Louisiana requires once you have the EIN

  • Register with the Louisiana Department of Revenue for a Louisiana Revenue Account Number, through geauxBIZ or LaTAP, for the state tax accounts the business needs. An LLC that makes taxable sales also needs a local sales tax account number from the parish collector.
  • File the annual report with the Secretary of State through geauxBIZ on or before the anniversary date of the LLC's organization every year.

What is actually different about Louisiana

  • A Louisiana LLC is formed by filing two documents together, the Articles of Organization and an Initial Report. The Initial Report gives the registered office and agents and must include a notarized affidavit of acknowledgment and acceptance signed by each registered agent; if the members or managers are not named in it, a supplementary report follows once they are chosen.
  • Louisiana's constitution requires sales taxes levied by parishes, cities and other local governments to be collected by a single collector in each parish, not by the Department of Revenue. A Louisiana LLC that collects sales tax therefore holds a state account plus a local account number issued by the parish collector's office, and the Department of Revenue's Parish E-File system lets it file the state return and several parish returns from one site.
  • geauxBIZ is run jointly by the Secretary of State, the Department of Revenue and the Louisiana Workforce Commission, so one online registration can form the LLC, register for a Louisiana tax account number and apply for an unemployment insurance account number. The Department of Revenue's paper application for a Revenue Account Number asks for both the EIN and the Louisiana charter number, tying the state tax account to the Secretary of State record.

If you own the LLC with your spouse and no one else: Louisiana is a community property state, so you may treat the LLC as a disregarded entity instead of a partnership.
