What Massachusetts needs first

Massachusetts assigns its own identification number. It identifies your company in state records and is not a tax ID. It cannot be used where an EIN is asked for, and the IRS has no record of it.
What Massachusetts requires once you have the EIN
- Register with the Massachusetts Department of Revenue on MassTaxConnect, through Register a New Taxpayer, for the taxes the business owes, such as sales and use tax, meals tax or withholding. DOR requires businesses to register with an EIN, and for taxes like sales and use it mails a registration certificate for each location, which must be posted and visible at all times.
- File the annual report with the Corporations Division every year on or before the anniversary of the date the certificate of organization was filed. The report repeats the information in the certificate and asks for the LLC's federal identification number.
What is actually different about Massachusetts
- The first item on a Massachusetts certificate of organization is the LLC's federal employer identification number, if it has one, and certificates of amendment and cancellation ask for it outright. The Corporations Division assigns its own identification number as well, so a Massachusetts LLC's public record can carry two different numbers side by side, and only the federal one is the EIN.
- Massachusetts has no single statewide annual report deadline for LLCs. Each LLC's report is due on or before the anniversary of its own certificate of organization, and an LLC that was administratively dissolved must file every annual report it owes before it can be reinstated.
- A Massachusetts certificate of organization can name the people authorized to sign and record documents affecting the LLC's interest in real property, whether recorded at a registry of deeds or a district office of the Land Court. Those names appear on the Corporations Division's public record for the LLC and are carried forward on each annual report.
