What Rhode Island needs first

Rhode Island assigns its own identification number. It identifies your company in state records and is not a tax ID. It cannot be used where an EIN is asked for, and the IRS has no record of it.
What Rhode Island requires once you have the EIN
- Register with the Rhode Island Division of Taxation on the Business Application and Registration (BAR) form, through the Taxpayer Portal or on paper, for a permit to make sales at retail, an income tax withholding account or an unemployment insurance account. A seller must register before it starts the business, not after its first sale.
- File the annual report with the Department of State between February 1 and May 1 every year, starting the calendar year after the LLC registers.
- File Form RI-1065 with the Division of Taxation every year and pay the annual fee that comes with it; this applies to a single-member LLC as well as a multi-member one.
What is actually different about Rhode Island
- Rhode Island requires a single-member LLC to file its own state return, Form RI-1065, even though it files no separate federal return, and every LLC not taxed as a corporation owes an annual fee equal to the minimum tax imposed on a corporation. A calendar-year single-member LLC's RI-1065 is due by the 15th day of the fourth month after year end.
- The Rhode Island annual report window runs from February 1 to May 1, and the report asks for no financial or ownership information. The Department of State mails a courtesy reminder each January; if that letter comes back undeliverable, it starts revocation proceedings for failure to maintain a registered office.
- One BAR registration opens the Rhode Island unemployment insurance account together with temporary disability insurance (TDI) and the job development fund tax, alongside withholding and the retail sales permit. Sales permits expire every June 30, renewal applications are due by February 1 each year, and each business location needs its own permit.
