What South Carolina needs first
Form your entity with the South Carolina Secretary of State before applying. The IRS asks for the legal name and formation date exactly as the state recorded them, and a mismatch is one of the common causes of a rejected application.
South Carolina assigns its own entity ID. It identifies your company in state records and is not a tax ID. It cannot be used where an EIN is asked for, and the IRS has no record of it.
What South Carolina requires once you have the EIN
- Apply through the Business Tax Application on MyDORWAY, the South Carolina Department of Revenue's online tax portal, for a Retail License and the other tax accounts the business needs; the Department asks an LLC for its FEIN on the application.
- If the LLC operates inside a city or county that levies a business license tax, obtain that local business license and renew it before May 1 each year, since every South Carolina jurisdiction now runs the same May 1 to April 30 license year.
What is actually different about South Carolina
- South Carolina LLCs file no annual report unless they are taxed as a corporation. The Department of Revenue lists an LLC not taxed as a corporation as exempt from both the annual report and the corporate License Fee; an LLC that elects corporate taxation must send the CL-1 Initial Annual Report of Corporations to the Department within 60 days of commencing business in the state.
- In South Carolina the corporate annual report is part of the state income tax return filed with the Department of Revenue, not a separate filing with the Secretary of State. For an S corporation, including an LLC taxed as one, the annual report is Schedule D of the SC1120S.
- The Business License Tax Standardization Act requires every South Carolina city and county that levies a business license tax to issue licenses for the same twelve-month period, May 1 through April 30, and to accept renewals through a single business license tax portal run by the state Revenue and Fiscal Affairs Office, so a business licensed in several jurisdictions can renew them all in one place.
- The Department of Revenue identifies business tax accounts by a file number rather than by the EIN: for sales tax the file number is the Retail License Number, and for withholding it is the Withholding Number. A separate Retail License is required for each business location, and the license does not expire.
