What New Mexico needs first
Form your entity with the New Mexico Secretary of State before applying. The IRS asks for the legal name and formation date exactly as the state recorded them, and a mismatch is one of the common causes of a rejected application.
New Mexico assigns its own business ID. It identifies your company in state records and is not a tax ID. It cannot be used where an EIN is asked for, and the IRS has no record of it.
What New Mexico requires once you have the EIN
- Register with the New Mexico Taxation and Revenue Department through the Taxpayer Access Point to receive a New Mexico Business Tax Identification Number, which is needed before the first sale because New Mexico taxes gross receipts rather than retail sales.
What is actually different about New Mexico
- New Mexico does not require LLCs to file an annual or biennial report with the Secretary of State. Corporations file a biennial report; LLCs file nothing after formation unless something changes, which is unusual and means the state tax registration is the only recurring state relationship most New Mexico LLCs have.
- New Mexico has a gross receipts tax instead of a sales tax. It is owed by the seller on receipts from most goods and many services, so a New Mexico consultant with no products still registers and files, where a consultant in most states would not.
- The Taxation and Revenue Department's account number is the New Mexico Business Tax Identification Number, which replaced the older CRS identification number in 2021. Older forms and bank checklists still ask for a CRS number; the NMBTIN is what they mean.
If you own the LLC with your spouse and no one else: New Mexico is a community property state, so you may treat the LLC as a disregarded entity instead of a partnership.
