What Arizona needs first
Form your entity with the Arizona Corporation Commission before applying. The IRS asks for the legal name and formation date exactly as the state recorded them, and a mismatch is one of the common causes of a rejected application.
Arizona assigns its own ACC file number. It identifies your company in state records and is not a tax ID. It cannot be used where an EIN is asked for, and the IRS has no record of it.
What Arizona requires once you have the EIN
- Register with the Arizona Department of Revenue through AZTaxes.gov — the Joint Tax Application (JT-1) asks for the EIN and opens the transaction privilege tax license and withholding account in one filing.
- If the LLC's known place of business is outside Maricopa or Pima County, publish the notice of formation in an approved newspaper within the window stated in the Commission's approval letter, then keep the affidavit of publication with the company records.
What is actually different about Arizona
- Arizona LLCs file no annual report with the Corporation Commission at all. Corporations do, which is why so much advice found online is wrong for an LLC; the only recurring state-level obligation for most Arizona LLCs is the transaction privilege tax return, and that is with the Department of Revenue, not the Commission.
- Arizona still has a newspaper publication requirement for new LLCs, but only for those whose known place of business is outside Maricopa and Pima counties. LLCs in those two counties are exempt because the Commission publishes the formation record on its own site instead.
- Arizona's sales tax is a transaction privilege tax imposed on the seller rather than the buyer, licensed by the Department of Revenue rather than the Commission. A new LLC that will sell anything needs that TPT license, and the application asks for the federal EIN before it asks for anything else.
- Arizona uses the term statutory agent where other states say registered agent, and the agent must sign an acceptance that is filed with the articles. The Commission's eCorp portal issues the file number that identifies the LLC in state records; it is a state index, not a tax ID.
If you own the LLC with your spouse and no one else: Arizona is a community property state, so you may treat the LLC as a disregarded entity instead of a partnership.
