What New Jersey needs first
Form your entity with the New Jersey Division of Revenue and Enterprise Services before applying. The IRS asks for the legal name and formation date exactly as the state recorded them, and a mismatch is one of the common causes of a rejected application.
New Jersey assigns its own Entity ID. It identifies your company in state records and is not a tax ID. It cannot be used where an EIN is asked for, and the IRS has no record of it.
What New Jersey requires once you have the EIN
- Complete the separate business registration, Form NJ-REG, online with the Division of Revenue and Enterprise Services — it requires the EIN and produces the Business Registration Certificate that New Jersey public agencies and many private customers demand before paying an invoice.
- File the annual report online by the last day of the LLC's anniversary month each year; New Jersey does not accept it on paper.
What is actually different about New Jersey
- New Jersey splits formation into two filings with the same Division: the certificate of formation, which creates the LLC, and the business registration, NJ-REG, which registers it for taxes. The second one cannot be done without the federal EIN, and it is the one that issues the Business Registration Certificate contractors and public bodies ask for.
- New Jersey assigns a ten-digit Entity ID at formation, printed on the filed certificate. Every later filing, including the annual report and the NJ-REG registration, asks for it, and it is the number owners most often cannot find when the first annual report comes due.
- New Jersey's LLC annual report is due by the end of the anniversary month and can only be filed online. There is no paper form, so an owner waiting for a mailed notice with a form attached is waiting for something the state does not send.
