Do You Need an EIN to Open a Business Bank Account?

If the business is an LLC, corporation, partnership, nonprofit, estate or trust, yes. The account is opened in the entity’s name and the bank needs the entity’s taxpayer number, which is its EIN. If you are a sole proprietor, it depends on the bank. Some will open a business account on your SSN plus a DBA certificate; many will not, and most sole proprietors get the EIN rather than argue. Either way, the EIN is only one of the documents; the bank will also want formation papers, ID for every signer, and, for an entity, proof of who owns it.

Why the bank asks

Banks are required to identify their customers and, for a business customer, to identify the people behind it. The taxpayer number is the anchor of that record, and interest on the account is reported to the IRS under it. For an entity, the only number that fits is the EIN. A bank that opened an LLC’s account under the owner’s SSN would be reporting the LLC’s interest as the owner’s, so most simply do not allow it.

What each business type needs

LLC, including single-member

EIN, articles of organization as approved by the state, the operating agreement if the bank asks, and ID for each authorised signer. Corporation

EIN, articles of incorporation, and a board resolution or bylaws naming who can open accounts.

Partnership

EIN and the partnership agreement. A partnership must have an EIN under IRS rules regardless of the bank.

Sole proprietor

Nonprofit

EIN, articles, and a board resolution. The bank does not need the IRS exemption letter to open the account; it needs the EIN.

Estate or trust

EIN, the death certificate, and the court letters or the trust document. The bank will not open an estate account on the deceased person’s SSN. EIN for an estate.

Beneficial ownership

For an entity, the bank will ask who owns 25 percent or more of it and who controls it, with ID for each. This is a separate requirement from the EIN and is why a person who is not on the paperwork cannot open the account for you.

What an EIN alone does not get you

  • An account with no other documents. The EIN proves the IRS issued a number; the formation documents prove the entity exists and who runs it.
  • Business credit with no personal guarantee. New businesses are underwritten on the owner. The EIN is asked for, but the SSN is what is checked.
  • A bank account for an entity that has not been formed. The bank matches the EIN to the state record. Why the LLC comes first.

Can I use one EIN for two businesses’ accounts?

Only if they are the same entity, such as one LLC with two DBAs. Two LLCs need two EINs and two accounts.
