LLC first, then EIN. The EIN application asks for the LLC’s legal name and formation date exactly as the state recorded them, and the IRS issues the number to that entity. Applying before the state approves the LLC means guessing at a name that might be rejected, and an EIN issued to an entity that never comes to exist belongs to nothing. Why the LLC has to come first

Form SS-4 is an application by an entity. For an LLC it asks for the name on the Articles of Organization, the state of organisation, the number of members and the formation date. The IRS records all of it against the EIN. Three things go wrong when the LLC does not exist yet.

  • The state rejects or changes the name. Name conflicts at the state level are common. If that happens after the EIN was issued under the original name, the EIN is attached to a name the LLC does not have.
  • The formation date is wrong. You do not know the date until the state stamps it. The IRS wants that date, and a guessed one creates a mismatch that surfaces on the first return.
  • The EIN may have been issued to you, not the LLC. People who apply before forming often end up choosing sole proprietor on the entity question, because the LLC does not exist. That number is yours personally and cannot be transferred to the LLC later.

What to do if you already got the EIN first

It depends what the application said.

  • The EIN was issued to an LLC with the exact name and state the state then approved. Usually fine. If the formation date differs, a letter to the IRS corrects it.
  • The name differs from what the state approved. Write to the IRS to change the name on the EIN record. How to change the name on an EIN. Do not apply for a second one.
  • The EIN was issued to you as a sole proprietor. The LLC needs its own EIN. Apply again in the LLC’s name once it is approved. The sole proprietor number remains yours and can be closed if you will never use it.

While the LLC is pending

State approval takes anywhere from minutes to weeks depending on the state and whether you paid for expedited processing. It is tempting to get the EIN in the gap. Do not; the risk above is real and the EIN itself, once you apply, comes back in the same session online or in a few business days by fax. The real EIN timeline is shorter than most state approval queues.

You do not need an LLC to get an EIN

The question behind “can I get an EIN without an LLC” is usually whether you have to form something first. You do not. What you cannot do is get an EIN for an LLC that does not exist and then form the LLC around it. The number follows the entity, not the other way round.
